Verdine is currently a pre-launch service. Joining the waitlist does not guarantee access or a launch date. Use the site lawfully, protect verification codes and treat product examples as illustrative. Future products will have additional service terms.

Acceptance and scope

These Terms of Use ("Terms") form a legally binding agreement between you and Verdine Technologies ("Verdine", "we", "us" or "our") and govern your access to and use of goverdine.com, the Verdine waitlist and related website communications (collectively, the "Services").

By accessing or using the Services, submitting a waitlist request or clicking an acceptance control that refers to these Terms, you confirm that you have read, understood and agreed to them and to our Privacy Policy. If you do not agree, do not use the Services.

Verdine POS, Tasky, Vivian and Verdine's broader intelligence products are currently described as upcoming offerings. Product access, pilots and paid services may be governed by additional order forms, service terms, data-processing terms, acceptable-use policies or product notices. If a product-specific agreement conflicts with these Terms, that agreement controls for the relevant product.

Eligibility and authority

You must be at least 18 years old and legally capable of entering a binding agreement to use the Services. If you use the Services on behalf of a restaurant, brand, company or other organisation, you represent that you have authority to act for it and that both you and the organisation will comply with these Terms.

You must provide accurate, current information and may not impersonate another person or business. You are responsible for ensuring that any restaurant or brand information you submit is information you are entitled to provide.

Waitlist and email verification

A waitlist submission is a request for information or potential early access; it is not a purchase, reservation, guarantee of admission, promise of availability or commitment by Verdine to launch a product on any particular date.

You must verify the submitted email address using the one-time code we send before a waitlist record is created. Codes expire, attempts and resend requests may be limited, and duplicate or suspicious requests may be rejected. You must not share a code or use the verification process to submit an address you do not control.

We may determine the timing, size, order, eligibility and conditions of any pilot or early-access programme. We may also pause, change or close the waitlist without liability.

Communications

You agree to receive transactional emails needed to verify and administer your request. If you complete signup, we may send launch notices, early-access invitations, product research and closely related Verdine updates using the details you provided.

You may opt out of non-essential communications at any time. Carrier, internet or data charges imposed by your provider remain your responsibility.

Permitted and prohibited use

Verdine grants you a limited, revocable, non-exclusive, non-transferable right to access and use the Services for their intended, lawful purpose. You must not:

  • break any applicable law, regulation or third-party right;
  • submit false, misleading, infringing or unauthorised information;
  • probe, scan, bypass, disable or interfere with security, authentication, rate limits or access controls;
  • introduce malware, harmful code, automated abuse, scraping that burdens the Services, or disproportionate traffic;
  • reverse engineer, decompile, copy or attempt to extract source code except where the law expressly permits it;
  • use the Services or content to build a competing product, train a model, create a derivative dataset or conduct commercial monitoring without written permission;
  • misrepresent an affiliation with Verdine or use our marks without permission; or
  • help another person do any of the above.

We may investigate suspected misuse and cooperate with lawful requests. Automated access requires our prior written consent unless a published interface expressly allows it.

Website content and future AI features

The website describes product direction, illustrative examples and expected capabilities. References to findings, forecasts, savings, actions, integrations, availability, product screens or outcomes are explanatory and may not represent a currently available feature. They are not a warranty, binding specification or guarantee of commercial results.

Any future AI-generated finding or recommendation must be reviewed by an authorised human operator. Restaurant operators remain responsible for pricing, menu, staffing, labour, food safety, allergen management, hygiene, tax, competition, consumer, licensing and other operational or legal decisions. Verdine content is not legal, financial, tax, medical, food-safety or other regulated professional advice.

Intellectual property

The Services and their design, software, text, graphics, structure, selection, branding, trade names, logos and other content are owned by Verdine or its licensors and protected by applicable intellectual-property laws. Except for the limited right to use the Services under these Terms, no right or licence is granted by implication or otherwise.

You may link to publicly available pages in a fair and lawful manner that does not imply endorsement. You may not frame, mirror, reproduce, republish, sell, license or commercially exploit the Services or their content without written permission.

Feedback

If you voluntarily provide ideas, suggestions or feedback, you grant Verdine a worldwide, perpetual, irrevocable, royalty-free right to use, modify and incorporate that feedback without restriction or compensation. This does not give Verdine ownership of your existing business data, trademarks or confidential information.

Third-party services and links

The Services may link to or rely on third-party websites, infrastructure or communications providers. Verdine does not control and is not responsible for third-party content, availability, security or practices. Your use of a third-party service may be subject to its own terms and privacy policy. A link does not imply endorsement.

Privacy

Our Privacy Policyexplains how we collect, use, disclose, retain and protect personal information. It forms part of these Terms. You agree to provide any notice and obtain any authority required before submitting another person's information.

Availability and changes

We may add, change, suspend, restrict or discontinue any part of the Services at any time. We do not guarantee that the Services will always be available, uninterrupted, secure, error-free or compatible with every device. Maintenance, provider failures, network events and circumstances beyond our reasonable control may affect availability.

Disclaimers

To the fullest extent permitted by applicable law, the Services and all content are provided "as is" and "as available". Verdine disclaims all express, implied and statutory warranties, including warranties of accuracy, completeness, merchantability, fitness for a particular purpose, title, non-infringement and results.

We do not warrant that illustrative findings, external data, forecasts, recommendations or anticipated product capabilities will be accurate, complete, current or suitable for your business. Nothing in these Terms excludes a warranty or right that cannot lawfully be excluded.

Limitation of liability

To the fullest extent permitted by law, Verdine and its founders, personnel, affiliates, suppliers and licensors will not be liable for indirect, incidental, special, consequential, exemplary or punitive loss, or for lost profits, revenue, goodwill, opportunities, anticipated savings, business interruption or data, arising from or connected with the Services.

To the fullest extent permitted by law, Verdine's aggregate liability arising from the current website, waitlist or these Terms will not exceed the greater of INR 1,000 or the amount you paid Verdine for the affected Service during the twelve months before the event giving rise to the claim. These limits do not apply to liability that cannot be excluded or limited under applicable law.

Indemnity

To the extent permitted by law, you will defend, indemnify and hold Verdine and its personnel harmless from third-party claims, losses, liabilities and reasonable costs arising from your unlawful use of the Services, information you submit without authority, infringement of another person's rights, or material breach of these Terms. Verdine will give reasonable notice of a covered claim and may control its defence.

Suspension and termination

You may stop using the Services at any time. We may reject a request or suspend or terminate access where reasonably necessary to protect the Services, comply with law, address misuse or enforce these Terms. Provisions that by their nature should survive—including ownership, feedback, disclaimers, liability, indemnity and dispute provisions—remain effective after termination.

Governing law and disputes

These Terms are governed by the laws of India, without regard to conflict-of-law principles. Before filing a formal claim, you and Verdine agree to attempt in good faith to resolve the dispute by sending written notice to help@goverdine.com and allowing 30 days for a response.

Subject to any mandatory consumer right or procedure that applies, courts of competent jurisdiction in India will have jurisdiction over disputes arising from these Terms or the Services.

General terms

These Terms and the Privacy Policy are the entire agreement concerning the current Services unless another written agreement applies. If a provision is held unenforceable, it will be limited or removed to the minimum extent necessary and the remainder will continue. A failure to enforce a provision is not a waiver.

You may not assign these Terms without our written consent. Verdine may assign them in connection with a reorganisation, financing, merger, acquisition or transfer of the Services. Section headings are for convenience only. Electronic notices and records satisfy written-form requirements to the extent permitted by law.

Changes to these Terms

We may update these Terms as the Services or law changes. The revised Terms will be posted here with an updated effective date. If a change is material, we will provide additional notice where reasonably practicable or legally required. Continued use after the effective date means you accept the revised Terms.
